CLOSURE OF REGISTER OF MEMBERS
ADJUSTMENT TO CONVERSION PRICE OF
THE CONVERTIBLE BONDS

Reference is made to the announcement of REXLot Holdings Limited (the “Company”) dated 27
March 2013 in relation to, among others, its annual results for the year ended 31 December 2012
and its proposed final dividend of 0.77 HK cent per share for the year ended 31 December 2012
(the “Final Dividend”).
Subject to the approval of the shareholders of the Company at the forthcoming annual general
meeting to be held on Tuesday, 11 June 2013 (the “AGM”), the proposed Final Dividend shall be
paid in form of cash on or around Wednesday, 31 July 2013 to shareholders of the Company
whose names appear on the Company’s register of members on Wednesday, 19 June 2013.

CLOSURE OF REGISTER OF MEMBERS
For determining the entitlement to attend and vote at the AGM, the register of members of the
Company will be closed from Monday, 10 June 2013 to Tuesday, 11 June 2013, both days
inclusive, during which period no transfer of shares will be registered. In order to be entitled to
attend and vote at the AGM, all transfer documents accompanied by the relevant share
certificates must be lodged with the Company’s branch share registrar and transfer office in Hong
Kong, Tricor Standard Limited, at 26/F, Tesbury Centre, 28 Queen’s Road East, Wanchai, Hong
Kong for registration no later than 4:30 p.m. on Friday, 7 June 2013.
For determining the entitlement to the proposed Final Dividend, the register of members of the
Company will be closed from Tuesday, 18 June 2013 to Wednesday, 19 June 2013, both days
inclusive, during which period no transfer of shares will be registered. In order to qualify for the
proposed Final Dividend, all transfer documents accompanied by the relevant share certificates
must be lodged with the Company’s branch share registrar and transfer office in Hong Kong,
Tricor Standard Limited, at 26/F, Tesbury Centre, 28 Queen’s Road East, Hong Kong for
registration no later than 4:30 p.m. on Monday, 17 June 2013. The proposed Final Dividend shall
be paid on or around Wednesday, 31 July 2013 to shareholders of the Company whose names
appear on the Company’s Register of Members on Wednesday, 19 June 2013.
ADJUSTMENT TO CONVERSION PRICE OF THE CONVERTIBLE BONDS

Reference is made to the announcements of the Company dated 22 September 2011, 28
September 2011, 28 October 2011, 7 November 2011, 28 November 2011, 4 September 2012, 13
September 2012, 11 October 2012, 19 October 2012 and 13 November 2012 respectively in
relation to the issue of the 6% convertible bonds due 2016 (the “Bonds”).
Notice is hereby given that based on the adjustment provisions in the terms and conditions of the
Bonds (the “Conditions”), an adjustment will be made to the Conversion Price as a result of the
Final Dividend, pursuant to Condition 6(C)(3)(ii), and subject to Shareholders’ approval of the
Final Dividend at the AGM. The Conversion Price of the Bonds, currently HK$0.6175 per Share,
will be adjusted to HK$0.6100 per Share with effect from 19 June 2013.
A copy of this notice is concurrently being dispatched to The Bank of New York Mellon, London
Branch, as trustee of the Bonds, for distribution to the holders of the Bonds.
